& conditions shall supercede any subsequent terms or conditions
included with any order placed with MedeaWiz Corporation. MedeaWiz
Corporation reserves the right to make changes to this site and
their printed materials regarding these terms and conditions at
any time without notice. |

| ORDER
ACCEPTANCE POLICY |
| The receipt of an order does
not signify our acceptance of your order, nor does it constitute
confirmation of our offer to sell. Item availability and prices
are subject to change at any time, without notice. MedeaWiz Corporation
reserves the right to limit quantities, and to decline the acceptance
of any order for any reason. MedeaWiz Corporation reserves the
right at any time after receipt of your order, without prior notice
to you, to supply less than the quantity ordered of any item.

| ORDER
CANCELLATION |
| An order may be canceled only
if that item is backordered and not available to ship. MedeaWiz
Corporation reserves the right to cancel an order or to issue
a Return Merchandise Authorization (RMA) for merchandise that
is advertised in error that does not conform to advertised specifications,
or was shipped in error. Charge backs from credit card issuing
banks are subject to the above policies. |

| BACKORDERS |
| Items are usually in stock at
all times, but in the event of a shipment delay or other unforeseeable
delay, MedeaWiz Corporation will place the item(s) on backorder
and ship the item(s) to you when it becomes available. On orders
with backordered items, the total shipping charges are included
with the first shipment. Shipping charges are non-refundable.
A backorder may be canceled at any time prior to shipping. |

| SALES
TAX |
| If your package ships from a
distribution center in the state in which you reside, a sales
tax may apply. You, the customer, are responsible for any and
all unpaid sales taxes. |

| CREDIT
CARDS |
| MedeaWiz Corporation accepts
credit cards, and there is no surcharge for using your credit
card to make a purchase. Please be sure to provide the exact billing
address and telephone number as recorded with your credit card
issuing bank. We will ship to an alternate address only if the
address is on file with your credit card issuing bank. Incorrect
information may cause a delay in the processing of your order.
Your credit card will be charged as each item is shipped. |

| MedeaWiz Corporation will provide
on-line technical notes on most computer hardware and software
products for your reference. MedeaWiz Corporation makes no guarantees
of product reliability or compatibility. |

| COPYRIGHT |
| Worldwide copyright laws and
treaty provisions protect all materials appearing anywhere on
MedeaWiz's Internet site. None of these materials may be copied,
reproduced, modified, or distributed in any form or by any other
means without the written consent of MedeaWiz Corporation. Any
unauthorized use of the materials appearing on MedeaWiz's internet
site may violate copyright, trademark and other applicable laws
and could result in criminal or civil penalties. |

| TRADEMARKS |
| All trademarks or service marks
are property of their respective owners. |

| JURISDICTION |
| Any litigation regarding this
agreement, or any transaction between a customer and MedeaWiz
Corporation, shall be brought to the state or federal courts located
in Los Angeles County, California and customer hereby agrees and
submits to such jurisdiction and venue as proper. |

| TYPOGRAPHICAL
ERRORS |
| In the event a product is listed
at an incorrect price due to typographical error or error in pricing
information received from our suppliers, MedeaWiz Corporation
shall have the right to refuse or cancel any orders placed for
products listed at the incorrect price without prior notification.
MedeaWiz Corporation shall have the right to refuse or cancel
any such orders whether or not the order has been confirmed and
your credit card charged. If your credit card has already been
charged for the purchase and the order is canceled, MedeaWiz Corporation
shall immediately issue a credit to the credit card account in
the amount of the incorrect price. |

| SHIPPING
POLICY |
| All orders within the Continental
US will usually ship within 48-hours (excluding Saturday, Sunday
and holidays). Next day orders receive priority and are usually
shipped the same day if received before 1:00 p.m. PT. For multiple
item orders, shipping charges will be calculated based on the
total weight and ship-to location. Applicable taxes for California
residents only will be added to the sales price. |

| LIMITED
PRODUCT WARRANTY |
MedeaWiz Corporation warrants this product
hardware against manufacturing defects in material and workmanship
under normal use for one (1) year from the date of purchase from
an authorized dealer. Except as provided herein, MedeaWiz Corporation
makes no express warranties', including but not limited to any
warranties of merchantability or fitness for particular use, or
non-infringement. You acknowledge that your use of the product
or service is at your sole risk and you agree that the information
provided is without warranty of any kind by MedeaWiz Corporation.
Under no circumstances, including negligence, will MedeaWiz Corporation
or any of its affiliates, directors, officers or employees, or
any third party be liable for any direct, indirect, incidental,
special or consequential damages that results from your use, or
your inability to use, or the performance of the product(s) with
respect to any liability, loss, or arising out of any breach of
this warranty, including, but not limited to any damages resulting
from inconvenience, loss of time, data, property, revenue, or
profit or any indirect, special incidental or consequential damages.
You acknowledge that this limitation applies to all content information
or other services available from MedeaWiz Corporation, and whether
or not MedeaWiz Corporation has notice of the possibility of such
damages, and whether or not to circumstances giving rise to such
damages may have been within the control of MedeaWiz Corporation.
Some states do not allow the exclusion of certain warranties,
so some of the above exclusions may not apply to you. In those
states, liability is limited to the fullest extent allowed by
law. By using the product(s), you agree to indemnify MedeaWiz
Corporation and its parents, subsidiaries, affiliates, officers
and employees and hold them harmless from any and all claims and
expenses, including reasonable attorney's fees, asserted third
party due to, or arising out of your use of the service and the
site.
In the event of a product defect during the first 30-days of the
warranty period, return product and the sales receipt as proof
of purchase date to place of original purchase. For a defect discovered
after 30-days from date of purchase, you must contact MedeaWiz
Corporation's Technical support for a Return Merchandise Authorization
(RMA) number for return to manufacturer. |
MedeaWiz Corporation will, at its option, unless otherwise provided
by law: |
| a.) |
Correct the defect by product
repair without charge for parts and labor; |
| b.) |
Replace the product with
one of the same or similar design; or |
| c.) |
Refund the purchase price.
All replaced parts and products, on which a refund is made,
become the property of MedeaWiz Corporation. New or reconditioned
parts may be used in the performance of warranty service.
Repaired or replaced parts and products are warranted for
the remainder of the original warranty period. You will
be charged for repair or replacement of the product made
after the expiration of the warranty period. |

| This warranty does not cover:
|
| a.) |
Damage or
failure caused by or attributable to acts of God, abuse,
accident, misuse, improper or abnormal usage, failure
to follow the instructions, improper installation or maintenance,
alteration, lighting or other incidence of excess voltage
or current; |
| b.) |
Any repairs other than
those provided by MedeaWiz Corporation; |
| c.) |
Consumables such as fuses
or batteries; |
| d.) |
Cosmetic damage; |
| e.) |
Transportation, shipping
or insurance costs; |
| f.) |
Costs of
product removal, installation, set-up, service adjustment
or reinstallation. |

| This warranty gives you specific
legal rights, and you may also have other rights, which may vary
from state to state. |
| Additional products bundled in
this package not manufactured by MedeaWiz Corporation will hold
separate warranties as expressed by the individual manufacturer
of that product(s). Product specifications, functions and features
are subject to change without notice. |

| REPLACEMENT/RETURN
POLICIES |
| MedeaWiz Corporation will repair
or replace products, which are determined to be defective, within
the first (1) year. Please keep your original invoice as proof
of purchase, in the event the product may need to be returned.
Customers who have products covered under the manufacturer's warranty
are required to contact Customer Service for troubleshooting issues
before returning product either by e-mail or by phone. Should
the issue not get resolved, a Return Merchandise Authorization
(RMA) number will be issued in order to smoothly track your product
through the repair and return process. It will be the responsibility
of the customer to pay for return shipping and shipping insurance
charges to get the product returned to the manufacturer's warranty
repair facility. Upon inspection, if product is deemed defective
and covered under the manufacturer's warranty policy; customer
will not be responsible for any additional charges. In the event
the product is out of warranty coverage, or warranty has been
void for any reason, it will be the liability of the customer
to pay for parts and/or labor charges and return shipping charges.

Special order
items will not be returnable. |

Product returns for warranty
coverage must be received at MedeaWiz Corporation's repair
facility within one (1) year of the date printed on all
original invoices and packing slips. |

Returns require pre-authorization
from MedeaWiz Corporation. Call the Customer Service first
to obtain an RMA (Return Materials Authorization) number.
Please have your invoice or packing slip available when
you call. |
| |
RMA number's are valid
for 30-days from the issue date. The RMA number must appear
on your return packing label and on the outside of the shipping
box. |
| |
Returns require a proof
of purchase (copy of the original invoice) to be enclosed
and the RMA number clearly marked on the outside of the
box. (see shipping instructions below) |

| DEFECTIVE
MERCHANDISE |
| If a problem arises Call MedeaWiz
Corporation Customer Service Dept. immediately to report defects
and obtain return authorization. Defective product returns must
be shipped 100% complete, including original box, packaging material,
manuals, software, inserts or flyers, and all other accessories
provided by the manufacturer. Please prepare the item in a secure
shipping carton (not just the product packaging), addressed to
MedeaWiz Corporation with the RMA# clearly marked on the outside
of the box, and a copy of your invoice enclosed. |

| NON-DEFECTIVE
MERCHANDISE |
| Non-Defective returns MUST be
in perfect condition and 100% complete, including original box,
packaging material, manuals, software, inserts or flyers and all
other accessories provided by the manufacturer in the original
container. Non-Defective returns or exchanges should be sent via
UPS or other courier that requires a signature. Prepare the item
in a secure shipping carton, addressed to MedeaWiz Corporation,
with the RMA number clearly marked on the outside of the box and
a copy of the invoice enclosed. We suggest that the item be insured
for the amount shown on your original invoice. Return of the product
in good condition is the customer's responsibility. |

| RETURNED
MERCHANDISE |
All product(s) accepted for return
for credit must be made within a 30-day period from the date of
original purchase from MedeaWiz Corporation and will be carefully
inspected upon receipt i.e. NO REFUND WILL BE EXTENDED FOR
PRODUCTS BEYOND THE FIRST 30 DAYS. Credit may be refused or
only a partial credit given should there be missing or damaged
items. MedeaWiz Corporation reserves the rights to refuse to issue
credit on incomplete or damaged product and choose to return the
product to sender. If accepted, credit for returned items will
be provided within 30 days of inspection and approval, unless
further research is needed to diagnose the problem. A 15% restocking
fee may be charged for return items in addition to deductions
for shipping & handling fees as well as any discounts, which were
given at the time of original purchase. A copy of the original
sales receipt or invoice will be required when returning product.
Full refunds will only apply in cases where it has been determined
the seller was at fault or in error or in the event of an evaluation
sample.
Please Note: OEM Products, specialty items and non-standard items
are not subject to the same return policy as "standard" MedeaWiz
products, i.e. OEM products may only be returned when the product
is found to be defective and only for an exchange.
It will be the responsibility of the customer to pay for return
shipping and shipping insurance charges to get the product to
the seller. All products, which are returned in packaging, which
does not fully protect the product during return transport to
the seller, will be considered void of warranty. It is strongly
suggested that the customer purchase insurance from the shipper
in the event of damage during transportation. Though
we try very hard to be accommodating, failure to comply with the
policy outlined above may result in the refusal of returned goods
and or refusal of refund or credit.

to you, to administer our site, and to notify you of products

| How
Do I Return a MedeaWiz Product? |
If our Technical Support engineer
or support representative determines that your product needs to
be replaced, you have two available options: |
| 1.) |
If the product was purchased
within 30-days of your sales receipt, you may return it
for exchange at the original purchase location. Proof of
purchase must be presented and individual retailers adhere
to their own policies regarding merchandise returns and
policies must be followed. |
| 2.) |
After 30 days from product
purchase date, you must return the defective product to
MedeaWiz Corporation for repair or exchange. A Customer
Service representative will issue you a Return Material
Authorization (RMA) number and return address to ship the
defective product. An RMA number is required to return any
product to MedeaWiz Corporation, regardless of the reason
for the return. |

| How
Do I Ship the Product Back? |
MedeaWiz Corporation shall have
no liability with respect to (a) data lost, regardless of the
cause, (b) data recovery services, or (c) data contained in any
Product placed in MedeaWiz's possession.
Please read the following shipping instructions carefully. Products
that arrive damaged in shipment, without an RMA number or without
appropriate warranty information, will be returned to you non-repaired.
Products damaged through neglect due to improper packaging or
in shipment, will void the warranty and be returned to you non-repaired.
Any alteration to the product (i.e., removal, damage, or tampering
of labels or seals, defacement of the product or abuse) will void
the warranty and be returned to you without repair. Do not send
proof of purchase or payment separately from product return. |
| In-warranty
returns |
include
proof of purchase inside the box along with the defective
product with an explanation of the problem.

returns |
If
units to be returned have not been fully paid full please
include full payment (check or money order) inside the
box along with the defective product. |

| We will only be responsible for
items specified and actually returned on the RMA. Only products
and quantities authorized will be accepted. If your RMA packing
list is in error, please contact MedeaWiz Corporation Customer
Service prior to sending any shipment. |

Pack the
unit in its original shipping carton if possible. If the
original shipping materials are not available, then pack
the unit in a shipping carton large enough to accommodate
both the unit and adequate packing material on all sides.
Obtain an RMA form and RMA number and be sure to indicate
the RMA number on the outside of every shipping carton.
This expedites the process of receiving your return at
our repair facility. Finally, ship the unit freight prepaid
and insured to avoid liability for loss or damage.

Seal the carton using adhesive
backed tape. Make sure all carton edges are sealed also
to prevent any tearing. Retain a record of your RMA number
for possible inquiries. You must place your RMA Number
on the outside of your package. Any package sent in
without an RMA number will be returned to you without repair.
Only one RMA number per box. When possible, use a traceable
carrier (i.e., Fed Ex, UPS, etc.) when shipping the product.
Customer pays RMA shipping costs to MedeaWiz Corporation
when returning after warranty period and MedeaWiz Corporation
pays RMA shipping costs to customer during the active warranty
period. Send to the appropriate address as instructed by
your customer service representative. |
